Roger Rufino Vargas, II, is President & Chairman of the Board of Directors of Defiant International, Inc. He has over 24 years' experience in sales, marketing, business training, and strategic business development. He is a former musician and athlete turned philanthropist, entrepreneur, and now executive. Mr. Vargas' professional journey began in the debt collection and consolidation industry, where he founded, developed, managed, and eventually sold his first company in his early 20s. Following this, he ventured into the oil and gas industry, gaining experience in drilling, lease acquisitions, operating, and geological and geophysical work.
As the Company's architect and founder, Mr. Vargas oversees assets across multiple sectors including energy, entertainment, technology, and real estate. His industry knowledge spans oil and gas, debt collection and consolidation, and music and entertainment. Over the past two decades, he has held a number of executive, management, sales, and marketing roles with companies engaged in oil and gas exploration and development both domestically and internationally. His philanthropic efforts are notable, having helped raise money for various children's and military charities.
Mr. Vargas has successfully raised millions of dollars for projects in oil and gas, entertainment, real estate, and service industries. He was a regional semi-professional bowling athlete during college. He also played baseball, basketball, soccer, track and field, and Texas high school football in his early years. He has composed music for independent films, TV shows, albums, and commercials, and has written music and marketing copy for various artists. He has four children and currently resides in Los Angeles, California and Dallas, Texas. Mr. Vargas studied Business Management and Broadcasting at Collin College in Frisco, Texas and continued his studies at Western International University in Phoenix, Arizona.

Bruno P. ("BP") Allaire is a member of the Company's Board of Directors and currently serves as CEO of Defiant International, Inc. A dynamic entrepreneurial executive with over 30 years of global experience, Mr. Allaire has excelled in sales, marketing, finance, strategy, business development, mergers and acquisitions, and operations management across diverse industries, including oil and gas, wine and spirits, restaurants, food and beverage, and digital music. Renowned for building high-performing teams and driving growth, he has consistently surpassed corporate objectives through strategic vision and operational expertise.
Mr. Allaire is the former CEO, Interim CFO, and Director of Foothills Exploration, Inc., a publicly traded oil and gas exploration company focused on the U.S. Rockies. During his tenure, he led a reverse merger, orchestrated an $11M acquisition of oil and gas assets in Utah's Uinta Basin, and developed several green energy projects. Overseeing all operations, he managed financial reporting, SEC compliance, and relationships with legal counsel, auditors, accountants, and key stakeholders.
Mr. Allaire was previously Managing Partner of Versailles Capital Partners, LLC, a multi‑discipline strategic advisory and business development firm based in Los Angeles, where he advised mining and oil and gas clients on capital acquisition and reclamation projects in regions like Louisiana and Nicaragua. He is experienced in executing a roll‑up strategy and integrating acquired companies into complex corporate entities with multiple wholly owned subsidiaries. Skilled in change management, process improvement, and team mentorship, Mr. Allaire aligns operations with strategic goals, leverages market trends, and fosters relationships with stakeholders from frontline staff to government agencies. His expertise in contract negotiation, acquisition integration, and regulatory compliance drives cost savings, operational improvements, and market share growth.
Mr. Allaire holds an MBA from Harvard Business School and a Master's Degree Certificate in Environmental Policy and Management with a focus on Energy & Sustainability from the University of Denver. He also earned a B.S. in Management, an A.S. in Finance & Investments, and an A.S. in Advertising & Public Relations from Johnson & Wales University in Providence, RI.

Hamad Behgooy, MBA, is a seasoned finance professional with extensive experience in underwriting, capital markets, and business operations within the mortgage and financial services industries. Since August 2023, Mr. Behgooy has served as an Underwriter II at CV3 Financial Services, where he evaluates non‑qualified mortgage (non‑QM) loan applications. He assesses borrower creditworthiness, analyzes risk factors using documentation (bank statements, tax returns, credit reports), and determines loan terms. He manages underwriting pipelines, ensures compliance with service‑level agreements, and participates in quality control and audits.
Mr. Behgooy was previously a Senior Underwriter at Civic Financial Services, honing his skills in non‑QM loan analysis, communicating underwriting needs, and making informed loan decisions. He ensured all conditions were met before closing and responded promptly to audits. Earlier, as a Credit Underwriter at Genesis Capital LLC, he evaluated borrower financials, analyzed DSCR, cash flow, and NOI, and prepared credit memorandums for executive approval.
In an earlier role, Mr. Behgooy was a Capital Markets Analyst at AmeriHome Mortgage Company, LLC, where he managed mortgage‑backed security commitments, coordinated with trade desks, and ensured compliance with FHLMC/FNMA/GNMA deliverables. He assessed loan characteristics for investor quality and resolved pending conditions to ensure salability.
He previously worked for Bank of America for 7 years. As a Business Support Lead, he served as a subject‑matter expert on loan origination, compliance, and credit issues, guiding research and resolution. As a Workflow Coordinator, he evaluated performance and led training. As a Senior Loan Closer, he managed a high‑volume pipeline and conducted compliance audits.
Mr. Behgooy's career began with roles at Silver Homes, LLC, the U.S. Small Business Administration, and Centex Homes, LLC, building a strong foundation in financial services. With expertise in underwriting, credit analysis, and capital markets, he is a results‑driven professional dedicated to excellence. He holds an MBA in Strategic Leadership from Amberton University and a B.S. in Business Administration from the Naveen Jindal School of Management in Dallas.

Since 1994, Mr. Emam has been a key figure at Perfect Timing Media in Los Angeles, working as a music producer, composer, and music supervisor, with similar roles at Media World Television in Dallas. He has produced numerous artists, composed over 200 songs, and scored countless films and commercials. Mr. Emam has collaborated with major networks such as CBS, FOX, FOX Sports, Discovery Channel, USA Network, and HBO, and executive produced feature films.
Mr. Emam has pioneered innovative revenue streams through new media, advancing cutting‑edge technologies in entertainment. His extensive network includes industry luminaries like Chuck Norris, Jordan Yospe, Alin Bijan, Bob Brockman, Peter Bergmann, Carmen Rizzo, Johnny Marshall, and Rick Goetz.
He serves on the boards of Texas Music Project, a music foundation with Willie Nelson as Honorary Chairman, and Monad Music, a technology and streaming service company. Mr. Emam's accolades include three Telly Awards, three Aurora Awards, a WorldFest award, and a Deep Ellum Film Festival award.

Brian Bridger currently serves as General Manager of the Defiant Entertainment division, managing day‑to‑day operations for two of the Company's key ventures, The Jam Station and United Content House. He is a multidisciplinary entrepreneur, creative director, and seasoned audio engineer with a diverse portfolio spanning music, media, and technology. As the founder of B.W. Bridger, LLC, he oversees a network of creative ventures and strategic partnerships that include music production, private music education, media creation, technology consulting, and collaborative content spaces.
With deep roots in the music industry, Mr. Bridger toured regionally as a multi‑instrumentalist and performer, later establishing the successful DFWGuitarLessons.com, a premier private music instruction business in North Texas. His work as a sound engineer includes notable experience with Jeff Carlisi (38 Special), and live sound for Edie Brickell and the New Bohemians, Andy Timmons, Johnny Winter, Bad Company, Soup, and other artists across genres. He played for multiple MLB teams, including the Texas Rangers, Chicago White Sox, San Francisco Giants, Chicago Cubs, Pittsburgh Pirates, and Detroit Tigers. His standout 2011 season with the Rangers included a 16–5 record, leading the American League in shutouts, and a pivotal Game 4 World Series win, pitching 8⅓ scoreless innings. Post‑career, Mr. Holland launched the 60 Feet 6 Foundation to fund leukemia research and support affected families.
